Terms of Service
1. Agreement to Terms
These Terms of Service (“Terms”) are a binding legal agreement between you (“you,” “your,” or “Customer”) and CredPacket LLC, a Florida limited liability company (“CredPacket,” “we,” “us,” or “our”), governing your access to and use of the CredPacket website, applications, and services (collectively, the “Service”).
By creating an account, clicking “I agree” (or a similar control), or accessing or using the Service, you acknowledge that you have read, understood, and agree to be bound by these Terms and by our Privacy Policy, which is incorporated by reference. If you do not agree, you may not access or use the Service.
PLEASE READ SECTION 15 CAREFULLY. IT REQUIRES DISPUTES TO BE RESOLVED BY BINDING INDIVIDUAL ARBITRATION AND WAIVES YOUR RIGHT TO A JURY TRIAL AND TO PARTICIPATE IN A CLASS ACTION, unless you opt out as described.
If you are entering into these Terms on behalf of a company or other legal entity, you represent that you have the authority to bind that entity, and “you” and “Customer” refer to that entity.
2. Eligibility and Accounts
You must be at least 18 years old and capable of forming a binding contract to use the Service. You agree to provide accurate, current, and complete information when creating your account and to keep it updated.
You are responsible for safeguarding your account credentials and for all activity that occurs under your account. You agree to notify us promptly at hello@credpacket.com of any unauthorized use. We are not liable for any loss arising from unauthorized use of your account.
3. Nature of the Service — Important Limitations
CredPacket is a software tool that helps you store, organize, track expiration dates of, and share business credentials and compliance documents (such as certificates of insurance, licenses, certifications, W-9s, and vehicle and equipment records). You understand and agree to the following, which are fundamental to this Agreement:
- CredPacket is a document-management and reminder tool only. We are not a compliance, insurance, legal, tax, or financial advisor, and we do not provide compliance, insurance, legal, tax, or financial advice. We are not an insurance producer, agent, or broker.
- You are solely responsible for your own compliance. You are solely responsible for maintaining valid insurance, licenses, certifications, and any other credentials your business requires, and for confirming their status, accuracy, and expiration directly with the issuing authority or insurer. Reliance on the Service does not satisfy any legal, contractual, or regulatory obligation you may have.
- Reminders and alerts are not guaranteed. The Service may provide expiration reminders and alerts as a convenience. We do not guarantee that any reminder or alert will be generated, delivered, timely, or received (delivery depends on third parties such as email providers and on accurate data). You should not rely on the Service as your sole method of tracking deadlines or expirations.
- No verification. CredPacket does not verify, audit, authenticate, validate, approve, endorse, or guarantee any uploaded document, credential, insurance policy, license, or certification. Where the Service or any shared profile or “CredPacket” uses the words “verified,” “trust,” or similar, those terms mean only that a document was uploaded by the account holder — they do NOT mean CredPacket has authenticated, validated, confirmed, or vouched for the genuineness, accuracy, or current validity of any document, insurer, or credential.
- Not a backup service. CredPacket is not a backup, archival, or records-retention service. You are solely responsible for maintaining your own independent copies of your documents and data.
4. Automated Document Reading (AI Features)
The Service uses automated and artificial-intelligence (“AI”) features to read uploaded documents and extract information such as document type, dates, policy numbers, and other fields. You understand and agree that:
- AI extraction is assistive and may be inaccurate or incomplete. AI-generated outputs may contain errors, omissions, incorrect dates, incorrect classifications, hallucinations, or otherwise inaccurate information. The Service may misidentify a document type or extract incorrect, partial, or outdated information.
- You must review and verify all AI-extracted information for accuracy before relying on it or sharing it. You are responsible for correcting any errors using the editing tools provided.
- To provide these features, uploaded documents and related metadata (such as filename and any hints you provide) are transmitted to and processed by third-party AI service providers. See our Privacy Policy for details on these providers and the data shared.
- CredPacket is not liable for any decision you or any third party make in reliance on AI-extracted information, including any error, misclassification, or omission.
5. Your Content and Third-Party Personal Information
You retain ownership of the documents, data, and other content you upload (“Customer Content”). You grant CredPacket a limited, non-exclusive, worldwide license to host, store, process, transmit, display, and share Customer Content solely as necessary to provide and improve the Service, including transmitting documents to AI providers for processing as described above and sharing documents with recipients you designate.
Many documents you upload may contain personal information about third parties — for example, employee names, driver’s license and CDL numbers, medical-card data, and Social Security or taxpayer identification numbers on W-9 forms. You are solely responsible for the accuracy, completeness, legality, authenticity, and validity of all Customer Content you upload to or share through the Service. You further represent and warrant that:
- You are responsible for deciding what to upload, and for reviewing, removing, or redacting any sensitive information that is not necessary for your use of the Service (such as Social Security numbers, driver’s license numbers, or medical information) before uploading or sharing documents;
- You have all rights, consents, and authority necessary to upload, store, process, and share that information through the Service, including any consent required from the individuals to whom the information relates;
- Your collection and use of that information complies with all applicable laws; and
- You will indemnify CredPacket for claims arising from your upload or sharing of third-party information without proper rights or consent (see Section 12).
6. Acceptable Use
You agree not to: (a) use the Service for any unlawful purpose or in violation of these Terms; (b) upload content you do not have the right to upload, or that is fraudulent, forged, or known to be false; (c) attempt to gain unauthorized access to the Service or other users’ data; (d) interfere with or disrupt the Service; (e) reverse engineer, copy, or create derivative works of the Service except as permitted by law; or (f) use the Service to send unsolicited communications in violation of applicable law.
Export and sanctions compliance. You may not use the Service in violation of U.S. export-control or economic-sanctions laws, and you represent that you are not located in, or a national of, any country or on any list subject to such restrictions.
7. Subscriptions, Fees, Free Trial, and Renewal
Paid plans are billed in advance on a recurring basis (monthly or annually) at the rates presented at checkout. We offer a free trial of seven (7) days; if you do not cancel before the trial ends, your paid subscription begins automatically and your payment method is charged.
Auto-renewal. Your subscription automatically renews at the end of each billing period (monthly or annually) at the then-current rate, and your payment method is charged, unless you cancel before the renewal date. You may cancel at any time through your account settings or by contacting hello@credpacket.com; cancellation takes effect at the end of the current billing period.
Setup service. If you purchase a one-time setup service, it is a separate paid service. Once we have begun work on the setup service, the fee is non-refundable.
Refunds. Except where a refund is required by applicable law, all fees are non-refundable, and there are no refunds or credits for partial periods, unused time, or downgrades. We may, in our sole discretion, issue a refund on a case-by-case basis; doing so does not obligate us to issue any future refund.
Price changes. We may change our fees on a going-forward basis. We will provide notice of a price change before it applies to your next renewal.
Taxes. Fees are exclusive of taxes; you are responsible for applicable sales, use, and similar taxes. Payments are processed by our third-party payment processor; by subscribing you also agree to that processor’s terms.
8. Intellectual Property
The Service, including all software, text, designs, logos, and trademarks (including the CredPacket name and logo), is owned by CredPacket or its licensors and is protected by intellectual-property laws. We grant you a limited, non-exclusive, non-transferable, revocable license to use the Service in accordance with these Terms. We reserve all rights not expressly granted.
If you provide feedback or suggestions, you grant us a perpetual, royalty-free license to use them without obligation to you.
9. Third-Party Services, Subprocessors, and Recipients
The Service relies on third-party providers (including hosting, database, payment, email, and AI providers). We are not responsible for the acts, omissions, availability, or policies of third-party services, and your use of them may be subject to their terms.
Subprocessors. We may add, replace, or change our hosting, AI, email, payment, and other service providers (subprocessors) at any time, provided we continue to require such providers to protect information consistent with this Agreement and our Privacy Policy.
Recipients. The Service may let you send documents to recipients you choose; you are responsible for ensuring you have the right to share with them. CredPacket is not responsible for how recipients store, distribute, share, secure, retain, or use any documents or information after they are delivered.
10. Disclaimers
THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY. To the maximum extent permitted by law, CredPacket disclaims all implied warranties, including merchantability, fitness for a particular purpose, title, and non-infringement. We do not warrant that the Service will be uninterrupted, error-free, secure, or that reminders, AI extractions, or shared documents will be accurate, complete, timely, or delivered.
11. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW: (a) CredPacket and its members, managers, employees, and agents will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any lost profits, lost revenue, lost business, lost goodwill, lost contracts, or loss of or damage to data, arising out of or relating to the Service — including any lapsed credential, missed deadline, missed or undelivered reminder, AI error or misclassification, or unauthorized access — even if advised of the possibility of such damages; and
(b) CredPacket’s total aggregate liability for all claims arising out of or relating to the Service or these Terms will not exceed the greater of (i) the total fees you actually paid to CredPacket in the twelve (12) months immediately preceding the event giving rise to the claim, or (ii) one hundred U.S. dollars ($100).
Some jurisdictions do not allow certain limitations, so some of the above may not apply to you. These limitations are a fundamental basis of the bargain between you and CredPacket.
Security incidents. While we use reasonable safeguards to protect information, no system is completely secure. To the maximum extent permitted by law, and except in cases of CredPacket’s willful misconduct, CredPacket is not liable for hacking, ransomware, unauthorized access, data breaches, interception, or disclosure of Customer Content by third parties or events outside our reasonable control.
Time limit on claims. Any claim or cause of action arising out of or relating to the Service or these Terms must be brought within one (1) year after the event giving rise to it; otherwise it is permanently barred, except where a longer period is required by applicable law.
Waiver of consequential damages. TO THE MAXIMUM EXTENT PERMITTED BY LAW, EACH PARTY WAIVES ANY RIGHT TO RECOVER INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, INCLUDING LOST PROFITS, LOST REVENUE, LOST BUSINESS OPPORTUNITIES, LOSS OF GOODWILL, OR LOSS OF DATA, ARISING OUT OF OR RELATING TO THE SERVICE OR THESE TERMS.
Force majeure. CredPacket is not liable for any delay or failure to perform, or for any interruption of the Service, caused by events beyond our reasonable control, including hurricanes and severe weather, internet or telecommunications outages, hosting or cloud-provider failures, cyberattacks, power failures, governmental actions, labor disputes, pandemics, or acts of God.
12. Indemnification
You agree to indemnify, defend, and hold harmless CredPacket and its members, managers, employees, and agents from and against any claims, damages, liabilities, losses, and expenses (including reasonable attorneys’ fees) arising out of or relating to: (a) your Customer Content; (b) your upload, storage, or sharing of any third-party personal information without all necessary rights or consents; (c) your use of the Service; (d) your violation of these Terms or applicable law; or (e) your reliance on, or any third party’s reliance on, information in the Service, including AI-extracted data and shared documents.
13. Suspension and Termination
You may stop using the Service and cancel at any time. We may suspend or terminate your access if you breach these Terms, fail to pay, or use the Service in a way that risks harm to us or others. Upon termination, your right to use the Service ends. We may delete your data after a reasonable period following termination; you are responsible for exporting any data you wish to keep. Sections that by their nature should survive (including Sections 5, 10, 11, 12, 14, and 15) survive termination.
14. Changes to These Terms
We may update these Terms from time to time. If we make material changes, we will provide reasonable notice (for example, by email or in-app notice). Your continued use of the Service after the changes take effect constitutes acceptance. If you do not agree, you must stop using the Service.
15. Governing Law, Arbitration, and Class-Action Waiver
Governing law. These Terms are governed by the laws of the State of Florida, without regard to its conflict-of-laws rules.
Binding arbitration. Except for the carve-outs below, you and CredPacket agree that any dispute, claim, or controversy arising out of or relating to the Service or these Terms will be resolved by binding individual arbitration administered by the American Arbitration Association (AAA) under its Commercial (or Consumer, if applicable) Arbitration Rules, rather than in court. The arbitration will be conducted in Palm Beach County, Florida, or by videoconference, and judgment on the award may be entered in any court of competent jurisdiction. The Federal Arbitration Act governs the interpretation and enforcement of this section.
Jury-trial and class-action waiver. YOU AND CREDPACKET WAIVE ANY RIGHT TO A JURY TRIAL. ALL CLAIMS MUST BE BROUGHT IN AN INDIVIDUAL CAPACITY ONLY, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY CLASS, COLLECTIVE, OR REPRESENTATIVE PROCEEDING. The arbitrator may not consolidate more than one person’s claims or preside over any form of class or representative proceeding.
Carve-outs. Either party may bring an individual claim in small-claims court, and either party may seek injunctive or equitable relief in court to protect its intellectual property or confidential information.
30-day right to opt out. You may opt out of this arbitration and class-action-waiver section by emailing hello@credpacket.com within thirty (30) days of first accepting these Terms, stating your name, account email, and that you opt out of arbitration. Opting out will not affect any other part of these Terms.
Severability. If the class-action waiver is found unenforceable as to a particular claim, that claim (and only that claim) will proceed in court; the remainder of this section will remain in effect. If the entire arbitration section is found unenforceable, the state and federal courts located in Palm Beach County, Florida will have exclusive jurisdiction, and you consent to personal jurisdiction there.
16. General
These Terms, together with the Privacy Policy, are the entire agreement between you and CredPacket regarding the Service. If any provision is found unenforceable, the remaining provisions remain in effect. Our failure to enforce a provision is not a waiver. You may not assign these Terms without our consent; we may assign them in connection with a merger, acquisition, or sale of assets. Nothing in these Terms creates a partnership, agency, or employment relationship.
No third-party beneficiaries. These Terms are solely for the benefit of CredPacket and Customer and do not create any rights, remedies, claims, or causes of action in any third party, including recipients of shared documents or CredPackets, homeowners, contractors, property managers, municipalities, insurers, or any other party.
